By accessing or using the IndeCommerce platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. IndeCommerce Inc ("IndeCommerce", "we", "us", "our") reserves the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.
IndeCommerce provides a multi-tenant B2B wholesale e-commerce platform that allows businesses ("Merchants") to create and manage online wholesale storefronts. The Service includes product management, order processing, customer management, marketing automation, AI outreach tools, and related features as described on our website.
You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. You must be at least 18 years old to use the Service.
Paid plans are billed monthly or annually as selected. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. You are responsible for all taxes associated with your use of the Service. Transaction fees (currently 8% on new customer orders, 4% on repeat orders) are charged in addition to the monthly plan fee. Failure to pay may result in suspension or termination of your account.

The Service includes AI calling, voicemail drop, SMS, email, and other outreach features. You are solely responsible for ensuring your use of these tools complies with all applicable laws including the TCPA, CAN-SPAM Act, GDPR, and any other relevant telecommunications and marketing regulations. IndeCommerce is not liable for your misuse of outreach features.
The Service and its original content, features, and functionality are owned by IndeCommerce Inc and are protected by intellectual property laws. You retain ownership of any content you upload to your storefront. By uploading content, you grant IndeCommerce a limited license to use it solely to provide the Service.
To the maximum extent permitted by law, IndeCommerce Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
We may terminate or suspend your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, you may export your data for 30 days before it is permanently deleted.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
